Media Services Agreement

Heads up. This is the summary version embedded in the onboarding flow. The full executable MSA gets sent to your email via PandaDoc within 24 hours of payment, signed electronically, and a countersigned PDF returned to both parties. By ticking the "I've read and agree" box during onboarding you accept the terms below pending the formal e-signature.

1. Parties

Konquer Media Agency Pty Ltd (ABN 15 685 811 492) — "Konquer" — and the Client identified at onboarding.

2. Services

Konquer will deliver the marketing services associated with the tier selected at onboarding (LAUNCH, GROWTH, or SCALE). Deliverables include monthly content production, ad campaign management, strategy calls, and attribution dashboards as specified on konquermediaagency.com and on the demo page link the Client received.

3. Term and termination

3-month minimum initial term from the date of first payment.
After the initial term, the agreement continues month-to-month.
Either party may terminate with 30 days written notice (info@konquermediaagency.com is sufficient).
Either party may terminate immediately for material breach uncured for 14 days after written notice.

4. Fees and payment

Retainer is billed monthly in advance, in AUD, ex-GST, via Stripe direct-debit or card on file.
10% GST is added at invoice. A compliant Australian tax invoice is issued for each billing period.
Ad spend on Meta / Google / TikTok is funded by the Client's own card direct to the platform. Konquer never holds or routes ad spend. No markup is applied.
Tier can be changed at any month-end, no re-signing, by email request.

5. Ad-account access

The Client retains full ownership of all marketing assets (Facebook Page, Instagram, Pixel, ad account, Google Ads account, website).
Konquer is granted advertise-only permissions via Meta Business Manager Partner Share and Google Ads Manager (MCC) link.
The Client may unilaterally revoke access at any time without notice.
Every campaign launch requires Client written approval before going live.
On termination: BM partner share is unshared, MCC unlinks, all assets remain with Client with full history intact.

6. Intellectual property

All deliverables created for the Client are licensed to the Client for unrestricted commercial use during the term and indefinitely after.
Konquer retains the right to use deliverables as portfolio / case-study material with the Client's prior written approval.
Pre-existing Konquer IP (templates, automation, AI prompts) remains with Konquer.
Client-supplied IP (logos, photos, brand assets) remains with Client.

7. Approval gate

No content is published and no campaign launched without the Client's documented approval (email, in-app approval-deck tick, or written confirmation). Konquer prepares and stages; the Client signs off the final publication.

8. Confidentiality and data

Each party will keep the other's confidential information confidential, except as required by law.
Personal information handling complies with the Australian Privacy Principles. Full details in the Konquer Privacy Policy.
Konquer stores Client data with industry-standard encryption (Cloudflare D1, Wrangler secrets, Stripe).

9. Performance and warranties

Konquer warrants services will be delivered with reasonable care and skill.
No guarantee of specific lead volume, conversion rate, or sales outcome is made or implied.
Konquer's liability is limited to the total fees paid in the 3 months preceding the claim, save for liability for death, personal injury, or fraud which cannot be excluded under Australian law.

10. Australian Consumer Law

Nothing in this agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot be excluded, restricted, or modified.

11. Disputes

Parties will attempt to resolve disputes in good faith via email within 14 days.
Unresolved disputes will be referred to mediation under the Resolution Institute Mediation Rules.
This agreement is governed by Victoria, Australia law; courts of Victoria have exclusive jurisdiction.

12. Electronic execution (ETA 1999)

The parties agree this agreement may be executed electronically. The tick-box acceptance during onboarding combined with the subsequent PandaDoc e-signature constitutes execution under section 10 of the Electronic Transactions Act 1999.
